These Terms of Service govern your use of capitecinc.com and related business inquiries and services provided by Capitec Inc. ("we," "us," or "our"). Our business includes VIVILEO EV charging equipment and TITATEC retail lighting and display solutions.

This company website provides product information, business contact forms and access to quotation tools and external sales channels. Purchases through brand stores or marketplaces also follow the terms disclosed by the applicable sales channel when the order is placed.

By using this website, you agree to these Terms. Our handling of personal information is explained in our Privacy Policy.

1. Eligibility and Business Authority

To place an order or enter into a business agreement, you must have legal capacity to do so. If you act on behalf of a company or organization, you must be authorized to represent it.

Provide accurate contact, order and project information. If an external sales platform provides an account, account access and security are also governed by that platform's terms.

2. Product Information

We make reasonable efforts to present accurate product descriptions, images, dimensions and specifications. Display settings may affect how colors appear on screen.

Product availability and specifications may change for future purchases. Your order is governed by the product specifications and terms confirmed when it is accepted. Material substitutions or changes to an accepted order require agreement where applicable.

3. Estimates and Project Quotations

Online estimates are preliminary calculations based on the information entered. They are not binding quotations, order acceptances or guarantees of product compatibility.

The TITATEC estimator is intended for standard shelf lighting estimates. EV charging, custom display, OEM and installation projects are quoted separately.

Final pricing, quantities, specifications, shipping, taxes, lead times and project scope are confirmed at checkout or in a written quotation or agreement. A preliminary estimate does not replace any required site assessment or engineering review.

4. Orders and Cancellations

Submitting an inquiry, requesting an estimate or receiving an automated acknowledgment does not by itself constitute order acceptance.

Orders are accepted through the confirmation process of the relevant sales channel or by our written acceptance. We may decline an order for legitimate reasons, including unavailable stock, payment problems, shipping restrictions or a material pricing error.

Contact us promptly to request cancellation. Cancellation availability depends on the order's processing or production status and the terms provided before purchase. Custom, OEM, wholesale and project orders follow their agreed terms. Payments for orders we decline or cancel are refunded as required by applicable law.

Wholesale, reseller and OEM purchases are supported where agreed with Capitec Inc. Such purchases do not automatically grant trademark licenses, exclusive territory rights or authorized distributor status.

5. Pricing and Payment

Prices may change for future purchases. Taxes, shipping and other charges are disclosed at checkout or in the applicable quotation. Payment schedules for project or wholesale orders are set out in the order agreement.

You must use an authorized payment method and fulfill the payment obligations you accept. Changes to a confirmed order's pricing require agreement where applicable.

6. Shipping, Delivery and Returns

Shipping availability, charges, processing times and return eligibility are described in our Shipping & Returns Policy or the applicable sales channel's policy.

Delivery estimates may be affected by carrier operations, weather, customs and other circumstances. Contact us if an order is missing, damaged or delivered incorrectly so we can investigate.

Responsibility for delivery and risk of loss are determined by the applicable order agreement and law. Nothing in these Terms automatically removes your rights concerning damaged, defective or undelivered products.

7. Product Use and Installation

Use products according to the applicable instructions, specifications and safety requirements. Compatibility, electrical capacity and site conditions must be considered before installation.

EV charging equipment that requires hardwiring, electrical work or permits must be installed by appropriately qualified professionals where required by applicable rules. Lighting and display products must also be installed according to their specific instructions.

Installation, engineering, permitting and professional services are included only when expressly stated in the accepted quotation or agreement.

8. Brand Ownership and Intellectual Property

VIVILEO is Capitec Inc.'s own EV charging brand. TITATEC® is a registered trademark owned by Forthsemi Co., Ltd. Capitec Inc. serves as the authorized U.S. operator and exclusive distributor of TITATEC products under the applicable authorization.

Website text, images, logos, drawings and other content belong to Capitec Inc. or their respective rights holders and are protected by applicable intellectual property laws.

You may view this website for product evaluation and legitimate business inquiries. Commercial reproduction, modification or redistribution of protected content requires permission from the relevant rights holder, except where permitted by law.

9. External Websites and Platforms

This website links to and may embed services operated through external platforms, including Google Forms, quotation tools, brand stores and marketplaces.

External platforms have their own terms and privacy policies. Their inclusion does not give Capitec Inc. control over their independent operations. The seller and transaction terms for a purchase are identified through the relevant sales channel.

10. Submitted Materials and Feedback

You retain your rights in drawings, layouts, specifications and other materials you submit. You authorize us to use those materials as reasonably necessary to evaluate your inquiry, prepare a quotation or fulfill an agreed order. You must have the right to submit them.

General, non-confidential suggestions may be used to improve our products and services without compensation. This does not grant us unrestricted commercial rights to your project drawings, proprietary designs or confidential information. Separate confidentiality agreements apply where agreed.

11. Errors and Corrections

We may correct website errors or outdated information. If a material error affects your order, we will contact you to explain the correction and available options. Corrections do not override applicable refund rights or accepted contractual terms.

12. Prohibited Conduct

You must not:

• Use the website for unlawful, fraudulent or misleading activities.
• Infringe intellectual property, privacy or other legal rights.
• Submit malicious code, spam or unauthorized payment information.
• Attempt unauthorized access to systems or interfere with website operations.
• Use automated tools in a way that bypasses access restrictions, collects personal information without authorization or disrupts the website.

13. Availability and Access

Website features may be updated, temporarily unavailable or discontinued. We may restrict access where reasonably necessary for security, maintenance or violations of these Terms.

Website access restrictions do not automatically cancel accepted orders, product warranties or other existing obligations.

Website information and tools are provided for general information and business evaluation. To the extent permitted by law, we do not guarantee uninterrupted or error-free website operation.

Product warranty coverage follows the warranty supplied with the product or agreed at purchase. These Terms do not replace written product warranties or disclaim rights and protections that cannot lawfully be excluded.

To the extent permitted by applicable law, Capitec Inc. is not liable for indirect or consequential losses arising from use of this website. This limitation does not exclude liability that cannot legally be limited or obligations under applicable product warranties.

15. Governing Law and Severability

These Terms are governed by the laws of California, United States, subject to any mandatory protections that apply to you. A separate signed agreement may specify governing law or dispute procedures for a particular business transaction.

If a provision is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

16. Changes to These Terms

We may update these Terms by posting a revised version and effective date on this page. Material changes will also be accompanied by a website notice where appropriate or required by law.

Updated Terms apply prospectively. They do not automatically alter an existing accepted order or signed agreement.
